Terms & Conditions

This Mailbox Service Agreement (“Agreement”) is made between the customer identified above (“Customer”) and XENOPHI, doing business as XENOPHI Online Business Center (“XENOPHI”), for the use of mailbox services governed by the laws of the State of Illinois.

1. Acceptable Use
• Customer agrees not to use XENOPHI premises or services for any unlawful, illegitimate, or fraudulent purpose.
• All mailbox use must comply with federal, state, and local laws, as well as U.S. Postal regulations.
• Each individual or entity must submit a completed USPS Form 1583 to receive mail. Spouses may share one form if both provide full details.

2. Confidentiality & Disclosure
• This Agreement and Form 1583 are confidential, but may be disclosed to law enforcement or government agencies upon written request.
• Customer agrees to complete all required documents and sign updated forms upon request.

3. Mailbox Access & Probate
• Possession of mailbox credentials is considered valid authorization to access mailbox contents.
• In the event of death or incapacity, XENOPHI requires legal documentation before releasing mail or packages.

4. Post-Term Mail Handling
Upon expiration, cancellation, or termination of this Agreement, XENOPHI may:
4.1. Forward mail for up to 6 months with prepayment of postage, packaging, and a $10 storage fee for month 1 (fees for months 2–6 to be determined).
4.2. Store mail/packages for up to 6 months with a $20/month storage fee and a service fee per pickup (to be determined).
4.3. Retain mail for 10 days if no forwarding address or fees are provided, after which mail may be discarded or destroyed.
4.4. Discard unsolicited mail (e.g., bulk mail, occupant mail, coupons, ads).
4.5. Refuse packages from non-USPS couriers unless prior arrangements are made.

5. Cancellation & Refusal
Upon cancellation or termination, XENOPHI may:
5.1. Refuse mail or packages addressed to the customer.
5.2. Discard or destroy any remaining mail or packages.

5A. Refunds for Incomplete Applications & Inactivity
Customers who sign up for mailbox services but fail to complete their application — including submission of required documents for the initial approval stage — are eligible for a refund only within thirty-one (30) calendar days from the original signup date.
After this period, no refunds will be issued for incomplete applications, regardless of account type (monthly or annual).
If a customer remains unresponsive or fails to submit required documentation for thirty-two (31) to ninety (90) consecutive days following signup, the account may be closed or cancelled at XENOPHI’s discretion. No refunds, credits, or service extensions will be issued for accounts closed under this clause.

6. Term & Renewal
• The term of this Agreement includes the initial paid period and any renewal periods.
• Renewals are at XENOPHI’s sole discretion.

7. Termination for Cause
XENOPHI may terminate this Agreement with 30 days’ written notice for reasons including:
• Abandonment of mailbox
• Fraudulent or unlawful use
• Non-payment
• Excessive mail volume
• Abusive or disruptive behavior
• Violation of any provision in this Agreement
Actions by authorized users are attributed to the customer.

8. Notice Delivery
Notices are considered delivered:
• 24 hours after placement in the mailbox
• Upon personal delivery
• Next day via courier or USPS
• 5 days after certified mail, or upon actual receipt

9. Mail Acceptance & Storage Fees
• XENOPHI accepts all mail, including registered, insured, and certified.
• Courier deliveries must require a signature.
• Packages must be picked up within 3 days or incur a $5/day storage fee.
• Refused items may be returned at customer’s expense.
• C.O.D. items accepted only with prior arrangement and prepayment.

10. Indemnification
Customer agrees to indemnify and hold harmless XENOPHI and its affiliates from all claims, losses, or damages related to mailbox use, delivery failures, or legal violations.

11. Liability Cap
XENOPHI’s total liability for any claim is limited to $100.

12. Address Format
Customer must use the exact mailing address from Form 1583. Improperly addressed mail will be returned as “Undeliverable.”

13. Courier Delivery & ID Requirements
• Courier deliveries must go to XENOPHI’s street address.
• “P.O. Box” may be used only for USPS Caller Service format.
• Two valid IDs required, one with photo.
• Amendments must be in writing (email acceptable).

14. Package Inspection
XENOPHI reserves the right to open and inspect damaged or suspicious mail/packages.

15. Legal Waiver
Customer forfeits the right to bring suit against XENOPHI. In return, customer receives mailbox services and agrees to comply with U.S. and Illinois law.

16. Additional Indemnification
Customer indemnifies XENOPHI and its affiliates from all claims related to mailbox services.

17. Entire Agreement
This Agreement supersedes all prior agreements and understandings.

18. Amendments
Amendments must be in writing and signed by both parties (email acceptable).

19. Severability
Unenforceable provisions will be modified to reflect intent. All other provisions remain in effect.

20. Assignment
Neither party may assign this Agreement without consent.

21. Waiver
Delay or partial exercise of rights does not waive future enforcement.

22. Governing Law
This Agreement is governed by Illinois law. No action may be taken from U.S. territories or protectorates.

23. CISG Exclusion
Illinois law supersedes CISG and all UN laws.

24. Jurisdiction
All legal actions must be brought in Illinois courts. Both parties consent to exclusive jurisdiction.
